Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the StageFright website at https://getstagefright.com, our haunt management software and related services (collectively, the “Services”), operated by StageFright, LLC (“StageFright,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Private Beta

Some or all of the Services may be offered as a private beta or early access program. Beta features may be incomplete, change without notice, or be discontinued at any time. We provide beta Services on an “as is” basis with no guarantee of availability, performance, or continued support.

Accounts

To use certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Services or other users.

Your Content

You may submit content through the Services, including haunt-related data, schedules, media, and other materials (“Your Content”). You retain ownership of Your Content. You grant StageFright a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely as necessary to operate and improve the Services.

You represent that you have the rights needed to submit Your Content and that Your Content does not violate any third-party rights or applicable law.

Intellectual Property

The Services, including software, design, text, graphics, logos, and trademarks, are owned by StageFright or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Subscriptions and Fees

If you purchase a paid subscription or other paid offering, fees and billing terms will be presented at the time of purchase. Unless otherwise stated, fees are non-refundable except where required by law. We may change pricing with reasonable notice for future billing periods.

Third-Party Services

The Services may integrate with or link to third-party services. Those services are governed by their own terms and policies. StageFright is not responsible for third-party services.

Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGEFRIGHT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STAGEFRIGHT FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

Indemnification

You will defend, indemnify, and hold harmless StageFright from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Services, or your violation of these Terms.

Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Services. Sections that by their nature should survive termination will survive.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms at this URL and update the “Last updated” date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the United States and the state in which StageFright, LLC is organized, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the courts located in that state, unless applicable law requires otherwise.
